This document (as well as all documents referred to herein) governs the terms and conditions applicable to the use of this Website and the purchase or acquisition of products on it (hereinafter, the Terms).

The activity carried out by Germany Vic Shop LLC through the Website includes:

• Sale of new, genuine and compatible spare parts, components, replacement parts and accessories for BMW, MINI and BMW Motorrad motorcycles.

Germany Vic Shop LLC does not perform installations. Upon the User's express request, it may provide free assembly guidance, subject to availability, and reserves the right not to provide such guidance. Germany Vic Shop LLC shall not be responsible for costs arising from installation, adjustment, travel or labor.

LIMITATION OF LIABILITY (LLC): Germany Vic Shop LLC is an independent legal entity. To the extent permitted by applicable law, the Company's liability is strictly limited to its corporate assets. Members, managers and agents shall not assume personal liability for the entity's obligations arising from its business operations.

2. TRADEMARK LEGAL NOTICE

In addition to reading these Terms, before accessing, browsing and/or using this website, the User must have read the Privacy and Data Protection Policy. By using this Website or purchasing a product through it, the User agrees to be bound by these Terms; therefore, if the User does not agree with them, they must not use this Website.

These Terms may be amended. The User is responsible for reviewing them each time they access the Website, as those in force at the time of purchase shall apply.

3. THE USER

Accessing, browsing and using the Website grants the status of user (hereinafter, the User), and therefore all Terms set forth herein are accepted from the moment browsing begins.

The User accepts responsibility for proper use of the Website, which includes:

• Using this Website solely to make legally valid inquiries and purchases.
• Not making any false or fraudulent purchases. If a purchase could reasonably be considered to be of this nature, it may be cancelled and the relevant authorities may be informed.
• Providing truthful and lawful contact details.

The User declares that they are over 18 years of age and have the legal capacity to enter into contracts through this Website.

The User may enter into the sales contract in any of the languages available on the Website.

Before making a purchase, the User will have access to all relevant information regarding products, prices, shipping costs, payment methods and delivery times, as well as their withdrawal and warranty rights.

4. PURCHASE PROCESS

Vehicle identification number (VIN) requirement:

To ensure product compatibility with the vehicle, the buyer must provide the vehicle identification number (VIN) in the designated section of the cart during the purchase process.

If the buyer does not provide the vehicle identification number, it shall be understood that they have made the purchase without verifying compatibility with their vehicle, thereby assuming the risk of error. In such case, the right of withdrawal shall apply within the statutory period of 14 calendar days, provided that the product has not been used and is returned in its original packaging. Returns will not be accepted if the product has been installed, handled or custom-configured.

The buyer is solely responsible for ensuring that the purchased part is compatible with their vehicle. In case of doubt, it is recommended to contact our team before making the purchase.

Procedure: The User selects the products and adds them to the cart. The User must complete and/or verify the information requested at each step. Purchase details may be modified before payment is made. By clicking "Complete order", the User will receive confirmation by email, SMS and/or website chat.

Once the purchase procedure has been completed, the Website will generate an electronic invoice, which will be sent to the User by email. The User may request a paper copy by contacting Germany Vic Shop LLC.

Unless expressly stated otherwise, Germany Vic Shop LLC is not the manufacturer of the products sold. Although every effort is made to ensure that the information displayed is correct, packaging and/or materials may occasionally contain additional or different information from that appearing on the Website.

Communications, purchase orders and payments involved during transactions may be archived and retained in Germany Vic Shop LLC's computerized records as evidence of transactions, in compliance with applicable laws.

5. AVAILABILITY

All orders are subject to product availability and to no force majeure circumstances affecting supply. Should supply difficulties arise or products no longer be in stock, Germany Vic Shop LLC undertakes to contact the User and refund any amount paid, always using the same payment method used for the purchase.

Product availability is indicative only and does not constitute a guaranteed reservation until the order has been confirmed.

6. PRICES, TAXES AND PAYMENTS

Prices displayed on the Website are final prices, in Euros (€), and include applicable taxes, unless otherwise required by law.

Product prices exclude shipping costs, which will be added to the total amount during the purchase process. Under no circumstances will the Website automatically add costs to the price other than those voluntarily selected by the User.

Taxes and importation:

• For customers in the EU, applicable taxes are calculated at checkout where applicable.
• For international shipments outside the EU, the customer acts as the "Importer of Record". Any duties, customs charges or clearance costs required by the authorities of the destination country are the sole responsibility of the customer.
• In accordance with Spanish VAT Act 37/1992, orders shall be deemed located within the Spanish VAT territory if the delivery address is in Spanish territory, except for the Canary Islands, Ceuta and Melilla.

Prices may change at any time, but changes shall not affect orders for which confirmation has already been received by the User.

Accepted payment methods: Available methods will be displayed during the purchase process (checkout) and may vary depending on country, currency, amount, type of product or service, and provider limitations. Options that may be displayed include card, Klarna, Bizum (Spain only), Finance with Scalapay — buy now and pay later (Italy, France and Spain), bank transfer via secure link (Europe, United Kingdom, Japan, Mexico and United States), gift card and other enabled methods. Germany Vic Shop LLC may modify their availability, without prejudice to the fact that the User will always see the applicable options before confirming the order.

Orders pending payment via secure link: After confirming the order, the User will receive instructions and the relevant link by email and, where available, by WhatsApp or SMS. The order will not be prepared until the provider confirms payment. The reservation will be held for up to 12 hours for Bizum, 24 hours for Scalapay and 10 calendar days for bank transfer. Reminders may be sent during this period. If payment is not completed, the order may be automatically cancelled once it has been verified that it remains unpaid both with the payment provider and Shopify. If the payment method is a gift card, the charge will be made at the time of confirmation.

Germany Vic Shop LLC uses all means available to ensure the confidentiality and security of payment data transmitted during transactions (SSL).

Chargebacks: In the event of bank disputes without legitimate grounds, Germany Vic Shop LLC reserves the right to claim reasonable administration and recovery costs, including processor fees, up to a maximum of €250 (or the equivalent in the transaction currency) per incident, where permitted by law. Germany Vic Shop LLC reserves the right to block future purchases in the event of repeated unjustified chargebacks.

7. SHIPPING AND DELIVERY

Germany Vic Shop LLC ships worldwide.

Estimated delivery times and shipping costs are calculated and displayed during the purchase process, based on the destination, weight and availability of the selected products. The times indicated at checkout are estimates and do not constitute a binding commitment.

For customized products or products configured specifically for the customer's vehicle, the processing time may be extended by an additional 7 to 14 days.

In all cases, unless otherwise agreed by the parties, the maximum delivery period shall be 30 calendar days from order confirmation.

If Germany Vic Shop LLC is unable to meet the deadline, the User will be notified and may choose to:

1. Keep the order with a new estimated delivery date.
2. Cancel the purchase and receive a full and immediate refund.

If the delay exceeds 30 calendar days without justified cause, the User shall have the right to terminate the contract and receive an immediate refund of the amount paid.

If delivery is impossible due to the User's absence, the order may be returned to the warehouse. The carrier will leave a notice. If the order is ultimately returned to Germany Vic Shop LLC, the User shall bear the costs arising from the return.

If, after 7 days from the time the order is available for delivery, it has not been delivered for reasons not attributable to Germany Vic Shop LLC, it shall be understood that the User wishes to withdraw from the contract. Payments received will be refunded, using the same payment method used, deducting only the return costs.

If "free shipping" is indicated at any time, it applies solely to the most economical shipping method, even if the website allows express shipping to be selected. Even for subsidized shipments such as "FREE", the customer accepts that such amount is subsidized as a commercial courtesy and has a real economic value.

Risks related to products shall be borne by the User from the time of delivery. The User acquires ownership of the products when Germany Vic Shop LLC receives full payment.

8. RETURNS AND RIGHT OF WITHDRAWAL

The return request must be initiated through the returns portal, which validates the order and eligible products and generates the Prior Authorization (RMA). Returns sent without authorization may be rejected or returned to the sender at their expense. The above governs processing and does not limit the validity of any unequivocal declaration of withdrawal communicated within the statutory period through accepted channels.

8.1. Return Windows

• Consumers in the EU — Statutory Right of Withdrawal (14 days): The User has the right to withdraw from the purchase within 14 calendar days from receipt of the order, without the need to provide justification.
• Commercial courtesy (days 15 to 30): Outside the statutory withdrawal period and only if the product is new and unused, Germany Vic Shop LLC may, at its discretion, offer a store credit (gift card) of up to 50% of the amount paid, after deducting logistics and administration costs. This courtesy is an additional commercial policy and does not affect the statutory right of withdrawal within the initial 14 days.
• Customers outside the EU: Standard 30-day period under the Company's commercial terms.

8.2. Refund Within 14 Days (Statutory Withdrawal)

If withdrawal is communicated within 14 calendar days, all payments received from the User, including initial delivery costs, shall be refunded. Such refund shall be made using the same payment method used by the User. The User shall only bear the direct costs of return (return transport).

If the User requests cancellation before shipment to the recipient, but after the product has been purchased and shipped from the supplier to Germany Vic Shop LLC, the transport and administration costs incurred shall be deducted from the refund.

For a voluntary return, the User shall bear the direct cost of return transport. Initial delivery costs shall be refunded to the extent required by applicable regulations, excluding additional costs arising from a delivery method more expensive than the standard method. Outside the statutory period, any commercial courtesy shall be calculated in accordance with its terms. No shipping deductions shall apply where the return results from an error or direct responsibility of Germany Vic Shop LLC.

Refund calculation example (14 days):

8.3. Return Shipping and Evidence

For physical returns within Spain, Germany Vic Shop LLC provides a return label in accordance with the RMA instructions. Outside Spain, the User shall arrange and pay directly for tracked shipping to the indicated address. The User must package the product properly and provide, through the link received, the carrier, tracking number, proof or receipt, and transport invoice. The case may be administratively closed if delivery to the carrier or proof thereof is not recorded within 14 calendar days following the instructions, without prejudice to any applicable non-waivable rights.

When transport is arranged by the User, the User must claim from the carrier for any loss or damage occurring during transit and retain the documentation until receipt is confirmed. Insurance is optional, arranged and paid for by the User, and is non-refundable, without prejudice to non-waivable legal rights.

When Germany Vic Shop LLC must bear or reimburse transport costs, only the necessary and reasonable standard service shall be eligible. The invoice and at least three equivalent services shall be audited, and the lower amount between the eligible invoice basis and the median of those references shall be paid. Optional insurance, additional services, and avoidable excess weight or volume resulting from incorrect packaging are excluded.

8.4. Product Conditions

The product must be returned in the same condition in which it was delivered: new, unused, without signs of installation or handling, in its intact original packaging and with all accessories.

Deductions based on product condition: If the product shows deterioration, Germany Vic Shop LLC may apply a reduction to the refundable amount (up to 50% for packaging damage, up to 75% for signs of use). If the product does not meet the return conditions, the return may be rejected or returned to the customer carriage due.

8.5. Exceptions to the Right of Withdrawal

Returns will not be accepted for:

• Installed or handled parts.
• Products made "to measure", including those configured with a vehicle identification number or unique specifications.
• Electronic components programmed or linked to a VIN.
• Vehicle cleaning and care products (for hygiene/safety reasons).
• Unsealed or used oils, creams, paints and liquids.
• Gift cards.

8.6. Defective Products or Shipping Errors

If the User receives a defective or incorrect product, they must contact Germany Vic Shop LLC immediately. If the package has visible damage, this must be reported on the carrier's delivery note.

Germany Vic Shop LLC will assess the case and, where appropriate, offer a refund or replacement at no cost to the User (in this case NO shipping deductions shall apply).

8.7. Inspection and Refund Times

After receiving the returned product, Germany Vic Shop LLC has a period of 7 business days for technical inspection. Where applicable, the refund shall be issued to the original payment method within an estimated period of 5 to 10 business days after completion of the inspection.

9. WARRANTIES

Eligible products are subject to the applicable statutory warranty of conformity. For consumers in Spain, its duration is 3 years from delivery; in other territories, the applicable statutory period shall apply.

The warranty covers only manufacturing defects and malfunctions not attributable to the user. It does not cover:

• Normal wear and tear from use.
• Incorrect installation or installation by unqualified personnel.
• Improper handling.
• External or accidental damage.

Warranty process: The request is initiated through the warranty portal, where the User must describe the fault and provide the requested photos or videos. Germany Vic Shop LLC will first review this information and accept or reject the request. Any rejection shall include a reason communicated in the User's language. The product should only be shipped after acceptance.

When the inspection is accepted, the User will receive by email and, where available, through website chat, the address, instructions and an evidence submission link. For warranty claims, the User must always arrange and advance payment for transport, including from Spain: Germany Vic Shop LLC does not generate a prepaid label or collection service. The shipment must be properly packaged, tracked and documented through the link with the carrier, tracking number, proof or receipt, and invoice. If shipment is not recorded within 30 days, the case may be administratively archived; such archiving does not extinguish legal rights, and a new request may be reviewed within the applicable period.

When transport is arranged by the User, the User must claim from the carrier for any loss or damage occurring during transit. Insurance is optional, at the User's expense, and is non-refundable, without prejudice to non-waivable legal rights.

If, after receipt and inspection, it is determined that the warranty is covered, Germany Vic Shop LLC will reimburse necessary and reasonable standard transport and bear the cost of returning the repaired or replacement product. To calculate the refund, the invoice and at least three equivalent services shall be audited, and the lower amount between the eligible invoice basis and the median of those references shall be paid. Optional insurance, additional services, and avoidable excess weight or volume resulting from incorrect packaging are excluded.

Germany Vic Shop LLC shall not accept liability for installation, assembly, configuration or any other costs arising from the warranty (workshop labor, etc.).

10. TECHNICAL SAFETY AND DISCLAIMER OF WARRANTIES

Installation: It is strongly recommended that installation of any product be carried out by certified professionals. Germany Vic Shop LLC shall not be liable for damage arising from incorrect installation or installation by unqualified personnel.

DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE PROVIDED "AS IS" (AS IS). GERMANY VIC SHOP LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. For consumers in the European Union, this clause is understood without prejudice to the mandatory rights established in Annex I to this document, which prevail over this section.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Germany Vic Shop LLC shall not be liable for any indirect, incidental, special, consequential or punitive damages. Germany Vic Shop LLC's total liability for any claim related to an order shall not exceed the amount paid for the products giving rise to the claim.

However, in the case of products with original defects, Germany Vic Shop LLC shall be responsible for their repair, replacement, price reduction or refund in accordance with the statutory warranty.

Germany Vic Shop LLC shall not assume liability for:

• Minor visual differences (screen colors versus actual colors).
• Delays due to force majeure (strikes, natural disasters, pandemics, etc.).
• Improper use or incorrect installation by unqualified personnel.
• Losses not attributable to a direct breach on its part.

12. DATA PROTECTION

Personal information provided by the User shall be processed in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR) for European customers and United States privacy laws where applicable.

By accessing, browsing and/or using the Website, the User consents to the processing of such information and declares that all data provided is truthful.

13. ELECTRONIC COMMUNICATIONS

By using this Website, the User agrees that most communications with Germany Vic Shop LLC shall be electronic (email, SMS, website chat or notices posted on the Website). For contractual purposes, the User agrees to use this electronic means of communication and acknowledges that all contracts, notices, information and other communications sent electronically comply with legal requirements to be in writing.

14. TECHNICAL MEANS TO CORRECT ERRORS

If the User detects an error when entering data during the purchase process, they may modify it by contacting Germany Vic Shop LLC or through their personal area on the Website.

15. APPLICABLE LAW, ARBITRATION AND JURISDICTION

These Terms and all purchase contracts entered into through the Website shall be governed by the laws of the State of New York, USA.

Arbitration: Unless prohibited by law, any dispute between the User and Germany Vic Shop LLC shall be resolved through binding individual arbitration in New York, NY. The parties expressly waive participation in class actions (Class Action Waiver).

Arbitration opt-out: The User may opt out of arbitration by sending an email to [email protected] within 30 days of their first purchase, stating their full name, order number and the phrase "I wish to opt out of arbitration".

Consumers in the EU: The foregoing is established without prejudice to the mandatory minimum rights granted to the end consumer by the law of their country of residence. In the event of a dispute, EU consumers may refer the matter to the consumer authorities in their jurisdiction or to the European Commission's online dispute resolution platform: https://ec.europa.eu/consumers/odr/

16. COMPLAINTS AND CLAIMS

The User may send Germany Vic Shop LLC any complaints, claims or other comments through the contact details provided in section 1 of these Terms. Germany Vic Shop LLC has official complaint forms available to consumers, which may be requested at any time.

17. GENERAL PROVISIONS

Severability: If any of these Terms is declared null or unenforceable by a final decision of a competent authority, the remaining clauses shall remain in force.

Waiver: No waiver by Germany Vic Shop LLC of any right or legal action, nor any failure to require strict compliance by the User with any of their obligations, shall constitute a waiver of other rights or release the User from their obligations. No waiver shall take effect unless expressly made in writing.

Entire Agreement: These Terms and any document expressly referred to herein constitute the entire agreement between the User and Germany Vic Shop LLC and supersede any prior undertaking, agreement or promise.

ANNEX I — PROVISIONS FOR CONSUMERS IN THE EUROPEAN UNION

This Annex applies exclusively to natural persons acting as consumers and residing in the EU. In the event of a conflict between the main body of these Terms and this Annex, this Annex shall prevail for consumers to whom it applies.

1. Right of Withdrawal: 14 calendar days from receipt of the product, in accordance with Article 102 of Royal Legislative Decree 1/2007 (TRLGDCU). Direct return costs shall be borne by the consumer, unless otherwise required by law.
   Exclusions: Does not apply to personalized goods (configured by VIN), activated software, or products which, for hygiene or health reasons, are not suitable for return once unsealed (Art. 103 TRLGDCU).
2. Statutory Warranty of Conformity: A conformity warranty of 3 years in Spain (Art. 120 TRLGDCU) and 2 years in the rest of the EU (Directive 2019/771) is recognized for original manufacturing defects. It does not cover normal wear and tear, misuse or negligent installation.
3. Dispute Resolution: The consumer may refer the matter to the consumer authorities in their jurisdiction, alternative consumer dispute resolution bodies, or the European Commission's ODR platform (https://ec.europa.eu/consumers/odr/).
4. Withdrawal Form: The consumer may communicate their decision to withdraw using the model form included in Annex II to this document, or through any other unequivocal declaration addressed to Germany Vic Shop LLC through the channels indicated in section 1.

ANNEX II — MODEL WITHDRAWAL FORM

(In accordance with Annex B of Royal Legislative Decree 1/2007 — TRLGDCU, and Annex I, Part B, of Directive 2011/83/EU)

Complete and return this form only if you wish to withdraw from the contract.

The consumer may send this completed form by email to [email protected], through website chat, or by post to the address indicated. Communication of withdrawal within the period of 14 calendar days from receipt of the product shall be sufficient to exercise this right.
