This document (as well as all documents referenced herein) governs the terms under which this Website is used and the purchase or acquisition of products through it (hereinafter, Terms).

The activity carried out by Germany Vic Shop LLC through the Website includes:

• Sale of replacement parts, components, spares and accessories new, original and compatible, intended for BMW, MINI and BMW Motorrad motorcycles.

Germany Vic Shop LLC does not perform installations. It may provide free installation advice upon explicit request by the user, subject to availability, reserving the right to refuse such advice. Germany Vic Shop LLC is not responsible for costs arising from installation, setup, travel or labor.

LIMITATION OF LIABILITY (LLC): Germany Vic Shop LLC is an independent legal entity. To the extent permitted by applicable law, the company's liability is strictly limited to its corporate assets. Members, managers and agents do not assume personal liability for the entity's obligations arising from its commercial operations.

2. TRADEMARK LEGAL NOTICE

In addition to reading these Terms, before accessing, browsing and/or using this website, the User must have read the Privacy and Data Protection Policy. By using this Website or making a purchase through it, the User consents to be bound by these Terms; if they do not agree, they should not use this Website.

These Terms may be amended. The User is responsible for checking them each time they access the Website, as the versions in force at the time of purchase will apply.

3. THE USER

Accessing, browsing and using the Website confers the status of user (hereinafter, User), therefore all Terms set forth herein are accepted from the start of navigation.

The User assumes responsibility for proper use of the Website, which includes:

• Using this Website only to make legitimate inquiries and purchases.
• Not making any false or fraudulent purchase. If a purchase is reasonably considered fraudulent, it may be canceled and the relevant authorities informed.
• Providing truthful and lawful contact information.

The User declares to be over 18 years of age and to have legal capacity to enter into contracts through this Website.

The User may formalize the sales contract in any of the languages available on the Website.

Before making a purchase, the User will have access to all relevant information about products, prices, shipping costs, payment methods and delivery estimates, as well as their rights of withdrawal and warranty.

4. PURCHASE PROCESS

VIN requirement:

To ensure product compatibility with your vehicle, the buyer must provide the Vehicle Identification Number (VIN) in the field provided in the cart during the checkout process.

If the buyer does not provide the VIN, it will be understood that the purchase was made without verifying compatibility with their vehicle, assuming the risk of error. In such case, the right of withdrawal will apply within the legal period of 14 calendar days, provided the product has not been used and is returned in its original packaging. Returns will not be accepted if the product has been installed, tampered with or custom configured.

The buyer is solely responsible for ensuring the purchased part is compatible with their vehicle. In case of doubt, consult our team before purchasing.

Procedure: The User selects products and adds them to the cart. They must fill in and/or verify the information requested at each step. Before payment, purchase data may be modified. Clicking "Place Order" will trigger a confirmation sent by email, SMS and/or WhatsApp.

Once the purchase process is completed, the Website will generate an electronic invoice that will be sent to the User by email. The User may request a paper copy by contacting Germany Vic Shop LLC.

Unless expressly stated otherwise, Germany Vic Shop LLC is not the manufacturer of the products sold. Although great efforts are made to ensure displayed information is correct, packaging and/or materials may sometimes contain additional or different information than that shown on the Website.

Communications, purchase orders and payments involved during transactions may be archived and stored in Germany Vic Shop LLC's computerized records as evidence of transactions, in compliance with applicable laws.

5. AVAILABILITY

All orders are subject to product availability and to no force majeure event affecting supply. If difficulties arise regarding supply or products are out of stock, Germany Vic Shop LLC undertakes to contact the User and refund any amount paid, always using the same payment method used for the purchase.

Product availability is indicative and does not imply a guaranteed reservation until order confirmation.

6. PRICES, TAXES AND PAYMENTS

Prices displayed on the Website are final, in Euros (€) and include applicable taxes, unless otherwise legally required.

Item prices exclude shipping costs, which will be added to the total amount during checkout. The Website will not add costs to the price automatically except those the User has voluntarily selected.

Taxes and importation:

• For customers in the EU, applicable taxes are calculated at checkout when applicable.
• For international shipments outside the EU, the customer acts as the "Registered Importer". Any customs duties, tariffs or clearance costs required by the destination country authorities are the customer's sole responsibility.
• In accordance with VAT Law 37/1992, orders will be considered located for VAT purposes in Spanish territory if the delivery address is within Spain, except for the Canary Islands, Ceuta and Melilla.

Prices may change at any time, but changes will not affect orders for which confirmation has already been received by the User.

Accepted payment methods: Available payment methods will be indicated during checkout and may vary depending on country, currency, amount, type of product/service and/or payment provider limitations. Germany Vic Shop LLC reserves the right to enable, disable or modify payment methods at any time, provided the User always sees applicable options before confirming the order. If available, the User may pay all or part of the price with a gift card issued by Germany Vic Shop LLC.

Bank transfer orders will be reserved for 5 calendar days. If the payment method is a gift card, the charge will be made at the time of confirmation.

Germany Vic Shop LLC uses all means to ensure confidentiality and security of payment data transmitted during transactions (SSL).

Chargebacks: In case of unjustified bank disputes, Germany Vic Shop LLC reserves the right to claim reasonable management and recovery costs, including processor fees, up to a maximum of €250 (or equivalent in the transaction currency) per incident, where law allows. Germany Vic Shop LLC reserves the right to block future purchases in case of repeated unjustified chargebacks.

7. SHIPPING AND DELIVERY

Germany Vic Shop LLC ships worldwide.

Estimated delivery times and shipping costs are calculated and displayed during checkout, based on destination, weight and availability of selected products. Times shown at checkout are estimates and do not constitute a binding commitment.

For personalized products or items configured specifically for the customer's vehicle, processing time may be extended by 7 to 14 additional days.

In any case, unless otherwise agreed by the parties, the maximum delivery period will be 30 calendar days from order confirmation.

If Germany Vic Shop LLC cannot meet the deadline, the User will be notified and may choose to:

1. Keep the order with a new estimated delivery date.
2. Cancel the purchase and receive a full and immediate refund.

If the delay exceeds 30 calendar days without justified cause, the User will be entitled to terminate the contract and receive an immediate refund of the amount paid.

If delivery proves impossible due to the User's absence, the order may be returned to the warehouse. The carrier will leave a notice. If the order is returned to Germany Vic Shop LLC, the User will be responsible for return costs.

If 7 days elapse from when the order is available for delivery and it cannot be delivered for reasons not attributable to Germany Vic Shop LLC, it will be understood that the User wishes to withdraw from the contract. Payments received will be refunded, using the same payment method employed, deducting only the return shipping costs.

If at any time "free shipping" is indicated, this applies only to the most economical shipping option, even if the website allows selecting express shipping. Even when shipments are promoted as "FREE", the customer accepts that such amount is discounted as a commercial courtesy and has real economic value.

Risks related to the products shall be borne by the User from the moment of delivery. The User acquires ownership of the products when Germany Vic Shop LLC receives full payment.

8. RETURNS AND RIGHT OF WITHDRAWAL

Return requests must be initiated in the returns portal, which validates the order and eligible products and generates the Return Merchandise Authorization (RMA). Returns sent without authorization may be rejected or returned to sender at their expense. The foregoing governs processing and does not limit the validity of any unequivocal withdrawal notice communicated within the legal period through accepted channels.

8.1. Return Windows

• Consumers in the EU — Legal Right of Withdrawal (14 days): The User has the right to withdraw from the purchase within 14 calendar days from receipt of the order, without justification.
• Commercial courtesy (day 15 to 30): Outside the legal withdrawal period and only if the product is new and unused, Germany Vic Shop LLC may, at its discretion, offer a store credit (gift card) of up to 50% of the amount paid, deducting logistical and handling costs. This courtesy is an additional commercial policy and does not affect the legal right of withdrawal within the initial 14 days.
• Customers outside the EU: Standard period of 30 days under the company's commercial conditions.

8.2. Refund within 14 days (Legal Withdrawal)

If withdrawal is communicated within 14 calendar days, a refund of all payments received from the User, including initial delivery costs, will be made. Such refund will be processed using the same payment method used by the User. The User will only bear the direct return shipping costs.

If the User requests cancellation before shipment to the recipient, but after the product has been purchased and shipped from the supplier to Germany Vic Shop LLC, transport and handling costs incurred will be deducted from the refund.

In a voluntary return, the User will bear the direct cost of return shipping. Initial delivery costs will be refunded to the extent required by applicable law, excluding any additional cost arising from a delivery method more expensive than standard. Outside the legal period, any commercial courtesy will be calculated according to its conditions. No transport deductions will be applied when the return results from an error or direct responsibility of Germany Vic Shop LLC.

Refund calculation example (14 days):

8.3. Shipping and proof of return

For physical returns within Spain, Germany Vic Shop LLC provides a return label according to RMA instructions. Outside Spain, the User arranges and pays directly for tracked shipping to the address indicated. The product must be properly packaged and the User must provide in the received link the carrier, tracking number, shipping receipt and the transport invoice. The case may be administratively closed if delivery to the carrier or its proof is not recorded within 14 calendar days after instructions, without prejudice to non-waivable legal rights.

When the transport is arranged by the User, they must claim from the carrier any loss or damage occurring in transit and retain documentation until receipt is confirmed. Insurance is optional, arranged and paid by the User and non-refundable, without prejudice to non-waivable legal rights.

When Germany Vic Shop LLC must assume or reimburse transport, only the necessary and reasonable standard service will be eligible. The invoice and at least three equivalent services will be audited and the lower amount between the eligible invoice base and the median of those references will be paid. Optional insurance, additional services and avoidable overweight or volume due to incorrect packaging are excluded.

8.4. Product Condition

The product must be returned in the same condition in which it was delivered: new, unused, with no signs of installation or tampering, in its original intact packaging and with all accessories.

Deductions for product condition: If the product shows deterioration, Germany Vic Shop LLC may apply a reduction to the refundable amount (up to 50% for packaging damage, up to 75% for signs of use). If the product does not meet return conditions, it may be rejected or returned to the customer carriage forward.

8.5. Exceptions to the Right of Withdrawal

Returns will not be accepted for:

• Installed or tampered parts.
• Custom-made products, including those configured with VIN or unique specifications.
• Electronic components programmed or tied to a VIN.
• Car cleaning and care products (for hygiene/safety reasons).
• Oils, creams, paints and liquids unsealed or used.
• Gift cards.

8.6. Defective Products or Shipping Errors

If the User receives a defective or incorrect product, they must contact Germany Vic Shop LLC immediately. If the package shows visible damage, it must be noted on the carrier's delivery receipt.

Germany Vic Shop LLC will evaluate the case and, if appropriate, offer refund or replacement at no cost to the User (in this case shipping deductions DO NOT apply).

8.7. Inspection and Refund Times

After receiving the returned product, Germany Vic Shop LLC has a period of 7 business days for technical inspection. If applicable, the refund will be issued to the original payment method in an estimated period of 5 to 10 business days after completion of the inspection.

9. WARRANTIES

Eligible products are subject to the applicable legal conformity warranty. For consumers in Spain, its duration is 3 years from delivery; in other territories the corresponding legal period applies.

The warranty covers only manufacturing defects and malfunctions not attributable to the user. It does not cover:

• Normal wear and tear from use.
• Incorrect installation or installation by unqualified personnel.
• Improper handling.
• External or accidental damage.

Warranty process: The claim is initiated in the warranty portal, where the User must describe the fault and provide requested photos or videos. Germany Vic Shop LLC will first review that information and accept or reject the claim. Rejection will include a reason communicated in the User's language. The product should only be shipped after acceptance.

When the review is accepted, the User will receive by email and, when available, by WhatsApp the address, instructions and an accreditation link. Under warranty, the User always arranges and advances the transport, including from Spain: Germany Vic Shop LLC does not issue a prepaid label nor arrange a pickup. The shipment must be properly packaged, tracked and evidenced in the link with carrier, tracking number, receipt and invoice. If shipment is not recorded within 30 days, the file may be administratively archived; such archive does not extinguish legal rights and a new claim may be reviewed within the applicable period.

When transport is arranged by the User, they must claim from the carrier for any loss or damage during transit. Insurance is optional, at the User's expense and non-refundable, without prejudice to non-waivable legal rights.

If after receipt and review the warranty is deemed covered, Germany Vic Shop LLC will reimburse the necessary and reasonable standard transport and assume return of the repaired or replaced product. To calculate the reimbursement, the invoice and at least three equivalent services will be audited and the lower amount between the eligible invoice base and the median of those references will be paid. Optional insurance, additional services and avoidable overweight or volume due to incorrect packaging are excluded.

Germany Vic Shop LLC will not accept liability for installation, fitting, configuration or any other costs arising from the warranty (workshop labor, etc.).

10. TECHNICAL SAFETY AND WARRANTY DISCLAIMER

Installation: It is strongly recommended that installation of any product be performed by certified professionals. Germany Vic Shop LLC will not be liable for damages resulting from incorrect installation or by unqualified personnel.

WARRANTY DISCLAIMER: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE PROVIDED "AS IS". GERMANY VIC SHOP LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. For consumers in the European Union, this clause is without prejudice to mandatory rights set out in Annex I of this document, which prevail over this section.

11. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Germany Vic Shop LLC will not be liable for any indirect, incidental, special, consequential or punitive damages. Germany Vic Shop LLC's total liability for any claim related to an order will not exceed the amount paid for the products giving rise to the claim.

However, in the case of products with inherent defects, Germany Vic Shop LLC will be responsible for repair, replacement, price reduction or refund in accordance with the legal warranty.

Germany Vic Shop LLC will not be liable for:

• Minor visual differences (screen colors vs. reality).
• Delays due to force majeure (strikes, natural disasters, pandemics, etc.).
• Misuse or incorrect installation by unqualified personnel.
• Losses not attributable to a direct breach by the company.

12. DATA PROTECTION

Personal information provided by the User will be processed in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR) for European customers and U.S. privacy laws as appropriate.

By accessing, browsing and/or using the Website, the User consents to the processing of such information and declares that all data provided are truthful.

13. ELECTRONIC COMMUNICATIONS

By using this Website, the User agrees that most communications with Germany Vic Shop LLC will be electronic (email, SMS, WhatsApp or notices posted on the Website). For contractual purposes, the User consents to use this electronic means of communication and acknowledges that contracts, notices, information and other communications sent electronically meet the legal requirement of being in writing.

14. TECHNICAL MEANS TO CORRECT ERRORS

If the User detects an error when entering data during the purchase process, they may modify it by contacting Germany Vic Shop LLC or via their personal account on the Website.

15. APPLICABLE LAW, ARBITRATION AND JURISDICTION

These Terms and all purchase contracts concluded through the Website are governed by the laws of the State of New York, USA.

Arbitration: Except where prohibited by law, any dispute between the User and Germany Vic Shop LLC will be resolved through binding individual arbitration in New York, NY. The parties expressly waive participation in class actions (Class Action Waiver).

Opt-out of arbitration: The User may opt out of arbitration by sending an email to [email protected] within 30 days from their first purchase, providing full name, order number and the phrase "I wish to opt out of arbitration".

Consumers in the EU: The foregoing is without prejudice to the mandatory minimum rights granted by the law of the consumer's country of residence. In case of dispute, EU consumers may approach consumer authorities in their jurisdiction or the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/

16. COMPLAINTS AND CLAIMS

The User may send complaints, claims or any other comments to Germany Vic Shop LLC using the contact details provided in section 1 of these Terms. Germany Vic Shop LLC has official complaint forms available to consumers upon request.

17. GENERAL PROVISIONS

Severability: If any of these Terms is declared null or unenforceable by a final decision of a competent authority, the remaining clauses will remain in force.

Waiver: No waiver by Germany Vic Shop LLC of any right or legal action, nor failure to strictly require the User's compliance with any obligation, will constitute a waiver of other rights or exempt the User from their obligations. No waiver will be effective unless expressly made in writing.

Entire agreement: These Terms and any document expressly referenced constitute the entire agreement between the User and Germany Vic Shop LLC, and supersede any prior pact, agreement or promise.

ANNEX I — PROVISIONS FOR CONSUMERS IN THE EUROPEAN UNION

This annex applies exclusively to natural persons acting as consumers and resident in the EU. In case of conflict between the main body of these Terms and this Annex, this Annex will prevail for consumers to whom it applies.

1. Right of Withdrawal: 14 calendar days from receipt of the product, in accordance with Article 102 of Royal Legislative Decree 1/2007 (TRLGDCU). Direct return costs shall be borne by the consumer, unless legally obliged otherwise.
   Exclusions: Does not apply to personalized goods (configured by VIN), activated software, or products that for health or hygiene reasons are not suitable for return once unsealed (art. 103 TRLGDCU).
2. Legal Conformity Warranty: The conformity warranty of 3 years in Spain (art. 120 TRLGDCU) and 2 years in the rest of the EU (Directive 2019/771) is recognized for manufacturing defects. It does not cover normal wear, misuse or negligent installation.
3. Dispute Resolution: The consumer may contact consumer authorities in their jurisdiction, alternative dispute resolution bodies for consumer matters, or the EU ODR platform (https://ec.europa.eu/consumers/odr/).
4. Withdrawal Form: The consumer may communicate their decision to withdraw using the model form included in Annex II of this document, or by any other unequivocal statement addressed to Germany Vic Shop LLC via the channels indicated in section 1.

ANNEX II — MODEL WITHDRAWAL FORM

(In accordance with Annex B of Royal Legislative Decree 1/2007 — TRLGDCU, and Annex I, Part B, of Directive 2011/83/EU)

Only complete and return this form if you wish to withdraw from the contract.
