The activity that Germany Vic Shop LLC carries out through the Website includes:

• Sale of new, original and compatible spare parts, parts and accessories, intended for vehicles BMW, MINI and BMW Motorrad motorcycles.

Germany Vic Shop LLC does not perform installations. It can advise during assembly free of charge upon express request of the user, subject to availability, reserving the right not to accept said advice. Germany Vic Shop LLC is not responsible for costs derived from installation, set-up, travel or labor.

LIMITATION OF LIABILITY (LLC): Germany Vic Shop LLC is an independent legal entity. To the extent permitted by applicable law, the company's liability is strictly limited to its corporate assets. Members, managers and agents do not assume personal responsibility for the entity's obligations arising from its commercial operations.

2. LEGAL NOTICE OF TRADEMARKS

In addition to reading these Conditions, before accessing, browsing and/or using this website, the User must have read the Privacy and Data Protection Policy. By using this Website or purchasing a product through it, the User agrees to be bound by these Conditions, so if you do not agree with them, you should not use this Website.

These Conditions may be modified. The User is responsible for consulting them every time they access the Website, since those in force at the time of purchase will be applicable.

4. PURCHASE PROCESS

Mandatory VIN number:

To ensure compatibility of the products with your vehicle, the buyer must indicate the chassis number (VIN) in the section enabled in the cart during the purchase process.

If the buyer does not provide the chassis number, it will be understood that they have made the purchase without verifying compatibility with their vehicle, assuming the risk of error. In such case, the right of withdrawal will apply within the legal period of 14 calendar days, as long as the product has not been used and is returned in its original packaging. Returns will not be accepted if the product has been custom installed, manipulated or configured.

The buyer is solely responsible for ensuring that the purchased part is compatible with his or her vehicle. If in doubt, it is recommended to consult with our team before making the purchase.

Procedure: The User selects the products and adds them to the cart. You must fill out and/or verify the information requested in each step. Before making the payment, the purchase details can be modified. By clicking on "Finish the order", the User will receive a confirmation by email, SMS and/or WhatsApp.

Once the purchase procedure is completed, the Website will generate an electronic invoice that will be sent to the User by email. The User can request a paper copy by contacting Germany Vic Shop LLC.

Unless expressly stated otherwise, Germany Vic Shop LLC is not the manufacturer of the products sold. Although great efforts are made to ensure that the information displayed is correct, sometimes the packaging and/or materials may contain additional or different information than that which appears on the Website.

5. AVAILABILITY

All orders are subject to the availability of the products and that no force majeure circumstances affect the supply. If difficulties arise regarding the supply or there are no products left in stock, Germany Vic Shop LLC undertakes to contact the User and refund any amount paid, always using the same payment method used in the purchase.

The availability of the products is indicative and does not imply a guaranteed reservation until the order is confirmed.

6. PRICES, TAXES AND PAYMENTS

The prices displayed on the Website are final, in Euros (€) and include applicable taxes, unless otherwise stated due to legal requirements.

Item prices exclude shipping costs, which will be added to the total amount during the purchase process. In no case will the Website add additional costs to the price automatically, but only those that the User has voluntarily selected.

Taxes and import:

• For customers in the EU, applicable taxes are calculated at checkout where applicable.
• For international shipments outside the EU, the customer acts as "Importer of Record". Any tariff, customs fee or clearance cost required by the authorities of the destination country is the sole responsibility of the customer.
• In accordance with VAT Law 37/1992, orders will be deemed to be located in the territory of application of Spanish VAT if the delivery address is in Spanish territory, except for the Canary Islands, Ceuta and Melilla.

Prices may change at any time, but changes will not affect orders whose confirmation has already been received by the User.

Accepted payment methods: The available payment methods will be indicated in the purchase process (checkout) and may vary depending on the country, currency, amount, type of product/service and/or limitations of the payment provider. Germany Vic Shop LLC reserves the right to enable, disable or modify the payment methods available at any time, without prejudice to the fact that the User will always see the applicable options before confirming the order. If available, the User may pay all or part of the price with a gift card issued by Germany Vic Shop LLC.

Orders by bank transfer will be reserved during 5 calendar days. If the payment method is a gift card, the charge will be made at the time of confirmation.

Germany Vic Shop LLC uses all means to ensure the confidentiality and security of payment data transmitted during transactions (SSL).

Chargebacks: In the event of banking disputes without legitimate basis, Germany Vic Shop LLC reserves the right to claim reasonable management and recovery costs, including processor charges, up to a maximum of €250 (or equivalent in the currency of the transaction) by incidence, where the law allows it. Germany Vic Shop LLC reserves the right to block future purchases in case of repeated chargebacks without justification.

7. SHIPPING AND DELIVERY

Germany Vic Shop LLC ships worldwide.

Estimated delivery times and shipping costs are calculated and displayed during the checkout process, depending on the destination, weight and availability of the selected products. The deadlines indicated at checkout are estimates and do not constitute a binding commitment.

For products customized or configured specifically for the customer's vehicle, the processing time may be extended by an additional 7-14 days.

In any case, unless the parties agree otherwise, the maximum delivery time will be 30 calendar days from the confirmation of the order.

In the event that Germany Vic Shop LLC cannot meet the deadline, the User will be notified and may choose to:

1. Maintain the order with a new estimated delivery date.
2. Cancel the purchase and receive a full and immediate refund.

If the delay exceeds 30 calendar days without justified cause, the User will have the right to terminate the contract and an immediate refund of the amount paid.

If delivery is impossible due to the absence of the User, the order could be returned to the warehouse. The carrier will leave a notice. If the order is finally returned to Germany Vic Shop LLC, the User must assume the costs derived from the return.

If after 7 days from when the order is available for delivery, it has not been able to be delivered for reasons not attributable to Germany Vic Shop LLC, it will be understood that the User wishes to withdraw from the contract. Payments received will be refunded, through the same payment method used, deducting only the return costs.

If at any time "free shipping" is indicated, this applies only to the most economical shipping method, even if the website allows you to select express shipping. Even in shipping discounts such as "FREE", the customer accepts that said amount is subsidized as a commercial courtesy and has a real economic value.

The risks derived from the products will be borne by the User from the moment of delivery. The User acquires ownership of the products when Germany Vic Shop LLC receives full payment.

8. RETURNS AND RIGHT OF WITHDRAWAL

All returns are subject to a Prior Authorization (RMA). Returns sent without RMA may be rejected or returned to the sender at your expense. To request an RMA, the User must contact Germany Vic Shop LLC through the channels indicated in section 1.

8.1. Return Windows

• Consumers in the EU — Right of Legal Withdrawal (14 days): El Usuario tiene derecho a desistir de la compra en un plazo de 14 calendar days from receipt of the order, without the need for justification.
• Commercial courtesy (15th to 30th): Outside the legal withdrawal period and only if the product is new and unused, Germany Vic Shop LLC may offer, at its discretion, a store credit (gift card) of up to 50% of the amount paid, discounting logistics and management expenses. This courtesy is an additional commercial policy and does not affect the legal right of withdrawal within the initial 14 days.
• Customers outside the EU: Standard term of 30 days under the company's commercial conditions.

8.2. Refund within 14 days (Legal Withdrawal)

If the withdrawal is communicated within 14 calendar days, the refund of all payments received from the User, including initial delivery costs. Said refund will be made through the same payment method used by the User. The User will only bear the direct costs of return (return transportation).

If the User requests cancellation before shipment to the recipient, but after the product has been purchased and shipped from the supplier to Germany Vic Shop LLC, the transportation and handling costs incurred will be deducted from the refund.

In case of voluntary return (not by default of Germany Vic Shop LLC), the cost of shipping (round trip of the product) will be deducted from the total amount paid. This deduction will not be applied to returns resulting from error, defect or direct responsibility of Germany Vic Shop LLC.

Refund calculation example (14 days):

8.3. Product Conditions

The product must be returned in the same conditions in which it was delivered: new, unused, with no signs of installation or manipulation, in its original packaging intact and with all its accessories.

Deductions for product status: If the product is damaged, Germany Vic Shop LLC may apply a reduction in the amount to be refunded (up to 50% for damage to packaging, up to 75% for marks of use). If the product does not meet the return conditions, it may be rejected or returned to the customer with postage due.

8.4. Exceptions to the Right of Withdrawal

Returns will not be accepted for:

• Parts installed or manipulated.
• "Custom made" products, including those configured with a chassis number or unique specifications.
• Electronic components programmed or linked to VIN.
• Car cleaning and care products (for hygiene/safety reasons).
• Unsealed or used oils, creams, paints and liquids.
• Gift cards.

8.5. Defective Products or Shipping Error

If the User receives a defective or erroneous product, they must contact Germany Vic Shop LLC immediately. If the package has visible damage, you must notify it on the carrier's delivery note.

Germany Vic Shop LLC will evaluate the case and, if appropriate, offer a refund or replacement at no cost to the User (in this case shipping deductions do NOT apply).

8.6. Inspection and Refund Deadlines

After receiving the returned product, Germany Vic Shop LLC has a period of 7 business days for technical inspection. If applicable, the refund will be issued to the original payment method within an estimated period of 5 to 10 business days after completing the inspection.

9. GUARANTEES

All products sold on this website have a 3 year legal warranty from the date of delivery, in accordance with the applicable consumer protection regulations.

The warranty only covers manufacturing defects and malfunctions not attributable to the user. Does not cover:

• Normal wear and tear.
• Incorrect installation or by unqualified personnel.
• Improper manipulation.
• External or accidental damage.

If a product presents a failure covered by the warranty, the User must provide reasonable evidence of the defect.

Warranty process: If the product must be sent for inspection, the customer will assume the initial shipping costs for the inspection. If upon review it is determined that the product is covered by warranty, Germany Vic Shop LLC will reimburse these shipping costs and will assume the costs of returning the repaired or replaced product, within a reasonable period of time.

Germany Vic Shop LLC will not accept responsibility for installation, assembly, configuration or any other costs arising from the warranty (workshop labor, etc.).

10. TECHNICAL SECURITY AND DISCLAIMER OF WARRANTIES

Installation: It is highly recommended that the installation of any product be performed by certified professionals. Germany Vic Shop LLC will not be responsible for damages resulting from incorrect installation or unqualified personnel.

DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE PROVIDED “AS IS” (AS IS). GERMANY VIC SHOP LLC DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. For consumers in the European Union, this clause is without prejudice to the mandatory rights set out in Annex I of this document, which take precedence over this section.

11. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Germany Vic Shop LLC will not be liable for any indirect, incidental, special, consequential or punitive damages. Germany Vic Shop LLC's total liability for any claim relating to an order will not exceed the amount paid for the products giving rise to the claim.

However, in the case of original defective products, Germany Vic Shop LLC will be responsible for their repair, replacement, price reduction or refund in accordance with the legal warranty.

Germany Vic Shop LLC will not assume responsibility for:

• Minimal visual differences (colors on screen versus reality).
• Delays due to force majeure (strikes, natural disasters, pandemics, etc.).
• Improper use or incorrect installation by unqualified personnel.
• Losses that are not attributable to direct non-compliance on your part.

12. DATA PROTECTION

Personal information provided by the User will be treated in accordance with applicable data protection legislation, including the EU General Data Protection Regulation (GDPR) for European customers and US privacy laws as applicable.

By accessing, browsing and/or using the Website, the User consents to the processing of said information and declares that all the data provided is true.

13. ELECTRONIC COMMUNICATIONS

By using this Website, the User accepts that most communications with Germany Vic Shop LLC will be electronic (email, SMS, WhatsApp or notices published on the Website). For contractual purposes, the User consents to using this electronic means of communication and acknowledges that all contracts, notifications, information and other communications sent electronically comply with the legal requirements of being in writing.

15. APPLICABLE LAW, ARBITRATION AND JURISDICTION

These Conditions and all purchase contracts concluded through the Website are governed by the laws of the New York State, USA.

Arbitration: Unless legally prohibited, any dispute between the User and Germany Vic Shop LLC will be resolved by individual binding arbitration in New York, NY. The parties expressly waive participation in class actions (Class Action Waiver).

Arbitration Opt-Out: The User can exclude himself from the arbitration by sending an email to [email protected] within the 30 days from your first purchase, indicating full name, order number and the phrase "I wish to exclude myself from arbitration."

Consumers in the EU: The foregoing is established without prejudice to the mandatory minimum rights that the law of the country of residence grants to the final consumer. In the event of a dispute, EU consumers can go to the consumer authorities in their jurisdiction or to the European Commission's online dispute resolution platform: https://ec.europa.eu/consumers/odr/

16. COMPLAINTS AND CLAIMS

The User can send Germany Vic Shop LLC their complaints, claims or any other comments through the contact information provided in section 1 of these Conditions. Germany Vic Shop LLC has official complaint forms available to consumers, which they can request at any time.

17. GENERAL PROVISIONS

Divisibility: If any of these Conditions are declared null or inapplicable by a firm resolution of a competent authority, the rest of the clauses will remain in force.

Disclaimer: No waiver by Germany Vic Shop LLC of any legal right or action, nor the failure to require strict compliance by the User with any of its obligations, will constitute a waiver of other rights or exonerate the User from its obligations. No waiver will be effective unless expressly formalized in writing.

Full agreement: These Conditions and any document to which express reference is made constitute the entire agreement between the User and Germany Vic Shop LLC, and replace any other prior pact, agreement or promise.

ANNEX I — PROVISIONS FOR CONSUMERS IN THE EUROPEAN UNION

This annex applies exclusively to natural persons who act as consumers and are residents of the EU. In the event of a conflict between the main body of these Conditions and this Addendum, this Annex will prevail for consumers to whom it is applicable.

1. Right of Withdrawal: 14 calendar days from receipt of the product, in accordance with article 102 of Royal Legislative Decree 1/2007 (TRLGDCU). The direct costs of return will be assumed by the consumer, unless otherwise legally required.
   Exclusions: It does not apply to personalized goods (configured by VIN), activated software, or products that due to hygiene or health are not suitable for return after being unsealed (art. 103 TRLGDCU).
2. Legal Guarantee of Conformity: The guarantee of conformity of 3 years in Spain (art. 120 TRLGDCU) and 2 years in the rest of the EU (Directive 2019/771), for original manufacturing defects. It does not cover normal wear and tear, misuse or negligent installation.
3. Conflict Resolution: The consumer may go to the consumer authorities in their jurisdiction, to the alternative consumer dispute resolution bodies, or to the ODR platform of the European Commission (https://ec.europa.eu/consumers/odr/).
4. Withdrawal Form: The consumer can communicate his decision to withdraw using the model form included in Annex II of this document, or by any other unequivocal statement addressed to Germany Vic Shop LLC through the channels indicated in section 1.

ANNEX II — MODEL WITHDRAWAL FORM

(In accordance with Annex B of Royal Legislative Decree 1/2007 — TRLGDCU, and Annex I, part B, of Directive 2011/83/EU)

You only have to complete and send this form if you wish to withdraw from the contract.
